Welcome to Zeos Systems. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our website and services, you agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By using our services, you agree to these Terms. If you do not agree, please do not use our services.
2. Services Provided
Zeos Systems provides cybersecurity consultancy services, including but not limited to security assessments, penetration testing, incident response, and ongoing security support.
3. Client Responsibilities
Clients agree to: - Provide accurate and complete information necessary for the provision of services. - Cooperate with Zeos Systems during the service delivery process. - Maintain the confidentiality of any login credentials and notify us of any unauthorised access or security breach.
4. Fees and Payment
- Fees for services will be outlined in a separate agreement or contract.
- Payments are due upon receipt of the invoice unless otherwise specified.
- Late payments may incur interest charges as specified in the service agreement.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services. Confidential information does not include information that:
- Is publicly available at the time of disclosure.
- Becomes publicly available through no fault of the receiving party.
- Is independently developed by the receiving party without use of the disclosing party’s confidential information.
6. Data Protection
We are committed to protecting your privacy and handling your data in accordance with our Privacy Policy and the UK General Data Protection Regulation (UK GDPR). By using our services, you consent to the collection and use of your data as described in our Privacy Policy.
7. Intellectual Property
7.1 Ownership of Pre-existing Intellectual Property
Zeos Systems retains all rights, title, and interest in any pre-existing materials, methodologies, processes, or tools used or developed independently of the services provided to the client (collectively, "Pre-existing IP"). The client is granted a non-exclusive, non-transferable license to use any Pre-existing IP included in the deliverables solely for their internal business purposes.
7.2 Ownership of Developed Software
Upon full payment of all fees and expenses due under the service agreement, Zeos Systems agrees to transfer all rights, title, and interest in the software developed specifically for the client ("Developed Software") to the client. This includes all source code, documentation, and related materials.
7.3 License to Use Developed Software
Upon transfer of ownership, the client will have the exclusive right to use, modify, distribute, and sublicense the Developed Software as they see fit. Zeos Systems waives any moral rights to the Developed Software to the extent permitted by law.
7.4 Use of Developed Software for Marketing
Zeos Systems retains the right to use the Developed Software for marketing purposes, including as a portfolio example, unless explicitly restricted by a confidentiality or non-disclosure agreement.
7.5 Retained Rights
Zeos Systems retains a non-exclusive, royalty-free, perpetual license to use any general knowledge, skills, and experience, including ideas, concepts, know-how, and techniques, that are acquired during the performance of services, provided that such use does not disclose or infringe upon the client's confidential information or proprietary rights.
7.6 Warranties and Indemnity
Zeos Systems warrants that the Developed Software will be free from any third-party claims of infringement and that it will have the full right to transfer ownership of the Developed Software to the client. The client agrees to indemnify and hold harmless Zeos Systems against any claims, damages, or liabilities arising from the use of the Developed Software after ownership has been transferred.
8. Limitation of Liability
To the maximum extent permitted by law, Zeos Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our services.
- Any unauthorised access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from our services.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services.
9. Indemnification
Clients agree to indemnify, defend, and hold harmless Zeos Systems, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from:
- Your use of and access to the services.
- Your violation of any term of these Terms.
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
